Terms of Use

The following are the terms (“Terms”) on which the entity (the “Firm”) and the person who has been granted access credentials for Barclays Live (as defined below) or authenticated to access any Content (collectively and each individually, “Client”) may use the Barclays Live Website (the “Website”), the Barclays Live applications for tablets, smartphones and other devices (each an "App") or any content, data, materials, publications , tools or information of Barclays or its licensors that is made available to Client on the Website, through any App or through any application, platform, device or other medium whether by interactive access, link, FTP, feed, podcast, download or any other means (the “Content”). For the purposes of these Terms, "Barclays Live" means the Website and the Apps, and the terms “Website” and "App" shall include any and all Content.

Acceptance of these Terms: By clicking on “Accept” when either (i) entering the Website, (ii) using any App or (iii) accessing any Content and through continued use of the Website or any App or access to any Content. The client is accepting and agreeing to these terms and conditions of use (the “Terms”). Client confirms that it has the necessary legal capacity, right, power and authority to agree to these Terms and to be bound by them and enter into this agreement. Where the individual accepting these Terms is accepting these Terms on behalf of a Firm, such individual confirms that it has the necessary legal capacity, right, power and authority to agree to these Terms on behalf of the Firm. By agreeing to these terms you are also consenting to our use of your personal information in the manner described in our Privacy and Cookies Policy .

The term “Barclays”, “us” or “we” when used in these Terms refers to Barclays Bank PLC and its affiliated companies worldwide collectively or any of them individually. The term “you” or “User(s)” refers to individuals authenticated to access any Content and individuals using the Website or any App, via a User Name and Password, that, as applicable, are employed or engaged (whether temporarily or otherwise) by or agents of the Firm or its affiliates. Barclays will provide the Firm with a list of its Users upon request. Subscriber acknowledges and agrees that, subject to applicable law, Barclays may be required to provide Client’s identity to licensors of any Content. To the extent permitted by applicable law, Barclays may delegate any of its responsibilities or obligations in connection with these Terms to a third party, which may discharge those responsibilities or obligations on behalf of Barclays. If you have questions about any feature of Barclays Live or these Terms, our on-line Help page, located in the FAQ section of the Website, may be helpful, but if you have any further queries please contact your salesperson or email: clientservices@barclays.com. So you will have them for future reference, we suggest you print or save a copy of these Terms as well as our Privacy and Cookies Policy .

Registration and Access

Access to Barclays Live is password-protected. Barclays will assign a user name (“User Name”) and password (“Password”) to each User who is granted access. Each User Name and Password should be kept strictly confidential and is for the exclusive use of the User to whom they are assigned. Accordingly none of the following are permitted:

  • any disclosure to or use by any third party (including any other individual within a User’s Firm) of your User Name or Password;
  • any part of Barclays Live being accessed by persons who have not been registered with Barclays as users of Barclays Live;
  • access being made available to third parties or multiple individuals through your User Name or Password on a network or through any other means; or
  • access to Barclays Live (including any Content) by anyone other than User.

Where Client is authenticated to access any Content on any application, platform, device or other medium, Client shall not share or forward any registration email it receives from Barclays to any other person or entity.

Client agrees to, and in the case of Clients that are Firms, Client also agrees to cause its Users to, protect the confidentiality and security of Barclays Live (including all Content) and that all Content will only be communicated within Client to properly authorized employees and agents under obligations of confidentiality equivalent to those set out herein. Where Content includes legends or directions that limit distribution of material or participation in online, telephonic or other events, Client will comply with such legends and directions.

Client is liable for all use or misuse of any User Name, Password or Content, and, in the case of Clients that are Firms, shall also be liable for its Users’ use or misuse of any of its Users’ User Names, Passwords and Content. Client will comply and, in the case of a Client that is a Firm, will cause all Users to comply with all reasonable instructions notified to it by Barclays from time to time relating to the use of User Names, Passwords and Content. Client authorizes Barclays to act (without further enquiry) on any instruction given or appearing to be given by its Firm or a User using a User Name and Password and received by us. Barclays is not responsible for any breach of security caused by your or your Firm's failure to maintain the confidentiality of your User Name or Password. Client will promptly inform us if it suspects that the security or functionality of any User Name or Password or Barclays Live has been compromised. Effective immediately upon cessation of any User’s employment or other engagement with, or agency for Firm, User shall no longer access Barclays Live using any User Name or Password given to User or Firm. Firm shall remain liable for any use of Barclays Live (including all Content) by any User (whether before or after such Content is downloaded by such User) who has ceased employment with, or agency for, Firm until the applicable User Name and Password is disabled following notice to us by Firm.

Security of Stored User ID

Barclays is not responsible for any breach of security caused by your failure to maintain the confidentiality of your User Name and Password. The Barclays Live Website and Apps may allow you to store your User Name so that you will not be required to enter it upon each access to Barclays Live. Your web browser or other programs on any device you use to access Barclays Live or any Content may allow you to store your User Name as well as your Password. By using these capabilities, you may increase the risk of unauthorised access to Barclays Live or any Content and to your information on Barclays Live using the Website or any App. If you use a shared or public computer or mobile device, you should not store your access credentials on that device. You may elect at any time to cease the storage of your User Name by the Barclays Live Website and Apps.

Use of Barclays Live

You may not gain access to or use Barclays Live:

  • for any purpose that is unlawful or prohibited by these Terms;
  • in any manner that could directly or indirectly damage or otherwise interfere with Barclays Live or any other website, application or platform owned or controlled by Barclays;
  • in any manner that could directly or indirectly interfere with any other User's ability to access Barclays Live or any other website, application or platform owned or controlled by Barclays; or
  • to gain unauthorised access to any other website, application or platform owned or controlled by Barclays, to any other account or account information, or to any computer system(s) or network(s) connected to Barclays Live.

You agree at all times to use Barclays Live with utmost good faith. By way of example, but not by way of limitation, you will not:

  • publish, post, upload, distribute or otherwise disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful material or information on Barclays Live;
  • upload files to Barclays Live that contain software, information or other material protected by copyright or any other intellectual property rights unless you own or control the rights thereto or have received all necessary consents to do the same;
  • upload files to Barclays Live that contain viruses, trojan horses, worms, time bombs, cancelbots or similar contaminants; or
  • violate any applicable laws or regulations in relation to your use of Barclays Live.

Electronic Communications

Barclays reserves the right, to the extent permitted by applicable law, to monitor electronic communications. In connection with Client’s use of Barclays Live, Client acknowledges and consents to the electronic recording (digital or analog) of any communication, electronic or otherwise, between its Users and Barclays or its representatives or agents by means of Barclays Live. Client acknowledges and consents to our use of cookies and other means of collecting information about recipients of electronic communications (such as internet protocol addresses). Client acknowledges and consents to the recording, retention and use by Barclays and their employees, representatives and agents of all information and data that any User inputs during use of Barclays Live, including without limitation, all account information provided by Client and all selections and uses of any Content, including any calculators and other tools included therein. Anything that Client transmits to Barclays Live automatically becomes the property of Barclays and may be used by Barclays for any lawful purpose without any compensation or obligation of any form owed to Client. This includes any suggestions, ideas, information or other materials that Client or any of its Users chooses to share concerning the functions or features of Barclays Live. Anything that Client transmits to Barclays Live is further subject to disclosure as deemed appropriate by Barclays, including to any legal or regulatory authority to which Barclays is subject. Client further represents that it has the rights to transmit any information or other materials to Barclays for its use pursuant to any of the foregoing purposes.

Global Dealing Restrictions

To the extent permissible under applicable law, Barclays makes no representations that materials at Barclays Live (including any Content) are appropriate for use in all locations, or that transactions, securities, products, instruments or services discussed at Barclays Live are available or appropriate for sale or use in all jurisdictions, or by all investors or counterparties. Client and its Users access Barclays Live and any Content on their own initiative and are responsible for their compliance with applicable local laws and regulations. Users of Barclays Live may not necessarily be able to deal directly with all entities that post materials at Barclays Live. No Content (including any software) available on Barclays Live may be downloaded or otherwise exported in contravention of any export control laws or goods embargoes including, but not limited to those of the U.S. Department of Treasury, U.S. Department of Commerce or the United Kingdom.

No Offer of Securities; Disclosure of Interests

The Content is for informational purposes only and under no circumstances should any such material be considered as an offer from Barclays or any other issuer to sell or a solicitation of an offer to buy the securities or any other instruments of the Corporate & Investment Banking Division of Barclays or any other issuer. Offers can only be made where lawful under applicable law. If you wish to obtain further details about any information contained on Barclays Live, we suggest that you contact a Barclays’ representative in the Corporate & Investment Banking Division. It is possible that individual employees of Barclays may disagree with opinions or recommendations in materials on Barclays Live. One or more Barclays’ entities within its Corporate & Investment Banking Division may make a market or deal as principal in the securities, commodities or instruments mentioned in materials on Barclays Live or in options or other derivative instruments based thereon. In addition, Barclays, its shareholders, directors, officers and/or employees, may from time to time have long or short positions in such securities or in options, futures or other derivative instruments based thereon. One or more directors, officers and/or employees of Barclays may be a director of the issuer of the securities mentioned on Barclays Live. One or more Barclays’ entities within its Corporate & Investment Banking Division may have managed or co-managed a public offering of, or acted as initial purchaser or placement agent for a private placement of, any of the securities of any issuer mentioned on Barclays Live within the last three years, or may from time to time perform investment banking or other services for, or solicit investment banking or other business from, mentioned companies.

No Reliance

Content provided by Barclays is obtained from various sources. Content, including opinions, may be changed, amended, restricted or deleted without notice. Barclays is not utilizing Barclays Live or any Content to provide investment or other advice to Client or any other party, and no information or material at Barclays Live or in any Content is to be relied upon for the purpose of making or communicating investment or other decisions.

Price Information/Valuations

To the extent permissible under applicable law, actionable prices can be obtained only on a real-time, expressly agreed-upon basis. Any indicative valuations in any Content are provided for information only and Barclays makes no representations or warranties with respect to any indicative valuations. They are not an offer to enter into, transfer and assign or terminate any transaction, or a commitment by Barclays to make such an offer. An indicative valuation may differ substantially from an actionable value. Such estimates do not necessarily reflect Barclays’ internal bookkeeping or theoretical model-based valuations. Certain factors which may not have been assessed for purposes of these valuations, including, for example, notional amounts, credit spreads, underlying volatility, costs of carry or use of capital and profit, may substantially affect a stated valuation. Indicative valuations in materials at Barclays Live or in any Content may vary significantly from indicative valuations available from other sources. Neither Client nor any other third party may use any data or price information available in any Content for any valuation, trading, settlement, accounting purposes or other related functions.

In the event that Client at any time receives any data containing evaluations, rather than market quotations, for certain securities or certain other data related to such securities, the following provisions will apply: (i) evaluated securities are typically complicated financial instruments. There are many methodologies (including computer-based analytical modeling and individual security evaluations) available to generate approximations of the market value of such securities, and there is significant professional disagreement about which is best. No evaluation method, including those used by Barclays or its licensors, may consistently generate approximations that correspond to actual "traded" prices of the instruments; (ii) methodologies used to provide the pricing portion of certain data may rely on evaluations; however, Client acknowledges that there may be errors or defects in Barclays or its licensors software, databases, or methodologies that may cause resultant evaluations to be inappropriate for use in certain applications; and (iii) Client assumes all responsibility for edit checking, external verification of evaluations, and ultimately the appropriateness of use of evaluations and other pricing data provided to Client, regardless of any efforts made by Barclays or its licensors in this respect.

Hypothetical or Past Performance

Hypothetical or simulated performance results have inherent limitations. Unlike an actual performance record, simulated results do not represent actual trading. Also, since the trades have not actually been executed, the results may have under- or over-compensated for the impact, if any, of certain market factors, such as lack of liquidity. Simulated trading programs in general are designed with the benefit of hindsight, no representation is being made that any account will or is likely to achieve profits or losses similar to those shown.

Material to be Consulted in its Entirety

All materials at Barclays Live (including any Content) are to be reviewed by Client in their entirety, including any footnotes, legal disclaimers, restrictions or disclosures, and any copyright or proprietary notices. Any disclaimers, restrictions, disclosure or hedge clauses apply to any partial document or material in the same manner as they do the whole, and will be deemed incorporated in the portion of any material or document that Client consults or downloads. To the extent that Client disagrees with any such disclaimer, restriction, disclosure or hedge clauses, it must cease all use of Barclays Live (including any Content) immediately.

Statement Information

Any statements relating to Client’s transactions that are made available via Barclays Live have been provided as a courtesy to Client at its request and do not replace or supersede Client’s customer account statement. In the case of any conflict, the information on Client’s customer account statement shall prevail. We do not guarantee the accuracy or completeness of the information made available to Client on Barclays Live. This information is based upon the market value of Client account as of the dates specified herein and is subject to market fluctuation.

Linked Sites

Barclays has not necessarily reviewed any of the sites linked to or from Barclays Live (including any Content), and is not responsible for the content of external pages or any other third party site linked to or from Barclays Live (including any Content). Any linking by Client to any external pages or other sites is at its own risk. Barclays does not endorse, by placement on Barclays Live or otherwise, any linked page of a third party.

No Warranty; Liability Waiver

  1. TO THE EXTENT PERMITTED BY APPLICABLE LAW, BARCLAYS LIVE (INCLUDING THE CONTENT) AND ANY DATA OR CONTENT CONTAINED ON OR IN EITHER IS PROVIDED “AS IS” AND WITHOUT WARRANTY OF ANY KIND. BARCLAYS AND ITS EMPLOYEES, AGENTS AND LICENSORS (COLLECTIVELY, “RELATED PARTIES”) MAKE NO WARRANTY, REPRESENTATION OR OTHER ASSURANCE IN CONNECTION THEREWITH, INCLUDING AS TO AVAILABILITY, ACCURACY, COMPLETENESS, RESULTS, FUNCTIONALITY, RELIABILITY, PERFORMANCE, TIMELINESS, NON-INFRINGEMENT, SUITABILITY, QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR OTHERWISE.

  3. BARCLAYS SHALL NOT BE LIABLE FOR ANY DAMAGES TO, VIRUSES THAT MAY INFECT, OR SERVICES, REPAIRS OR CORRECTIONS THAT MUST BE PERFORMED ON ACCOUNT OF YOUR ACCESSING OR USE OF BARCLAYS LIVE OR ANY CONTENT.
  4. PLEASE NOTE THAT SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES. TO THE EXTENT THAT THEY DO NOT, AND THAT JURISDICTION GOVERNS THIS CLAUSE, SOME OR ALL OF THE ABOVE EXCLUSIONS WILL NOT APPLY TO YOU.

FURTHER, ALSO SUBJECT TO APPLICABLE LAW AND THE LIMITATIONS SET OUT IN PART 7 BELOW, WE ARE NOT LIABLE FOR LOSSES WHICH CLIENT MAY INCUR OR EXPERIENCE IN CONNECTION WITH THESE TERMS OR USE OF BARCLAYS LIVE (INCLUDING THE CONTENT), EVEN IF WE KNEW OF THE POSSIBILITY OF THOSE LOSSES. SUBJECT TO ANY ASSURANCES IN THESE TERMS AND CONDITIONS AND THE LIMITATIONS SET OUT IN PART 7 BELOW, CLIENT IS SOLELY RESPONSIBLE FOR ANY LOSSES, DAMAGES OR COSTS RESULTING FROM ITS OR ANY OF ITS USERS’ RELIANCE ON ANY DATA OR INFORMATION THAT WE OR OUR LICENSORS MAY PROVIDE IN CONNECTION WITH USE OF BARCLAYS LIVE OR ANY CONTENT. IN NO EVENT SHALL BARCLAYS OR ANY OF ITS RELATED PARTIES BE LIABLE FOR ANY CLAIM OR DEMAND AGAINST CLIENT BY ANY THIRD PARTY. ANY RELATED PARTY SHALL BE A THIRD PARTY BENEFICIARY UNDER THESE TERMS.
  6. IN NO EVENT SHALL BARCLAYS AND ITS RELATED PARTIES’ TOTAL LIABILITY FOR ANY AND ALL DAMAGES AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY CLIENT IF ANY, AT THE DATE OF THE DISCOVERY OF THE DAMAGE, FOR THE USE OF BARCLAYS LIVE OR ANY CONTENT.
  7. NOTHING IN THESE TERMS LIMITS OR EXCLUDES ANY LIABILITY TO THE EXTENT CONTRARY TO APPLICABLE LAWS OR REGULATIONS. IN PARTICULAR, NOTHING IN THIS THESE TERMS SHALL, OR SHALL BE CONSTRUED TO ATTEMPT TO, LIMIT ANY PARTY’S LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION OR DEATH OR PERSONAL INJURY CAUSED BY THAT PARTY’S NEGLIGENCE.

Intellectual Property; Limits on Authorised Access

Client and its Users may only use or reproduce Content for Client’s own personal reference and use, and never to the detriment of or in competition with Barclays or any of its assets. Client will not run harvesting bots, robots, spiders, or scrapers or auto-scripts on Barclays Live, will comply with the restrictions in any robot exclusion header and will not circumvent any technical measures implemented to prevent or limit such access. Where enabled and permitted, Client may access or download Content from Barclays Live solely on a limited, ad-hoc and unsystematic basis, provided that such access or downloading must not be to an unreasonable degree (as determined by Barclays in its sole discretion) and shall not affect other clients’ or users’ access to and/or use of Barclays Live and/or any services offered to clients or users by Barclays. Barclays reserves the right to suspend or restrict Client’s access to Barclays Live, at any time, if Barclays deems that an unreasonable degree of access or downloading of Content has taken place or for any other legitimate reason (as determined by Barclays in its sole discretion). The Content may not otherwise be used, reproduced, distributed, published or transmitted by any means to any other person or incorporated in any way into another document, model, application or other material, without Barclays’ express permission. Barclays grants you a limited, non-exclusive, non-transferable, without the right to sublicense, license to download and install a copy of any App on a single device or computer that you own or control and to run such copy of the App solely for your own personal reference and use. Except as and to the extent permitted by applicable law, you shall not reverse engineer or otherwise reproduce any functionality from Barclays Live. The trademarks, logos and service marks displayed on Barclays Live or any Content) are trademarks of Barclays and others. Nothing on Barclays Live or any Content shall be construed as granting, by implication, estoppel or otherwise, any license or right to use any image, trademark, logo or service mark at Barclays Live. No act of downloading or otherwise copying from Barclays Live will transfer title to any software, material or Content on Barclays Live to Client or any User. Client also agrees not to, and to cause its Users not to, use any Content for any unlawful purpose and you shall comply with any request from Barclays to protect their or any third party providers’ rights in the information. Barclays expressly reserves all rights in and to the App, the Website and any Content not expressly granted to Client under these Terms.

Reuters Instrument Code

The RIC or Reuters Instrument Code set has been developed and maintained by Reuters and is protected by intellectual property rights owned by Reuters. RICs are ©, database right and ™ Reuters. Barclays uses RICs under license from Reuters solely as access codes for the information contained in Barclays Live (including any Content). Reuters is not responsible for the information itself. RICs may not be copied, published or re-distributed without the prior written consent of Reuters.

Interactive Data Pricing and Reference Data (IDC)

Client acknowledges that any data of IDC that is made available via Barclays Live (including any Content)_is intended for use as an aid to institutional investors, registered brokers or professionals of similar sophistication in making informed judgments concerning securities. Client accepts responsibility for, and acknowledges it exercises its own independent judgment in, its selection of any data provided by IDC, its selection of the use or intended use of such, and any results obtained. Nothing contained herein shall be deemed to be a waiver of any rights existing under applicable law for the protection of investors.

Client shall indemnify IDC and its suppliers against and hold IDC harmless from any and all losses, damages, liability, costs, including attorney's fees, resulting directly or indirectly from any claim or demand against IDC or its suppliers by a third party arising out of or related to any data received by Client or any data, information, service, report, analysis or publication derived there from.

Termination

On termination any assigned User Name and Password will no longer provide access to Barclays Live, and Client agrees that access to any Content and Apps may be disabled or remotely removed from its computer and mobile device. Regardless of whether such measures are accomplished, use of any User Name or Password to access Barclays Live following termination is strictly prohibited and constitutes illegal trespass and unauthorised use, among other violations of the law. Barclays may terminate access to Barclays Live or any Content for any reason at any time. Without prejudice to the foregoing, if Barclays believes that any User Name or Password is being used in violation of these Terms, or that any other breach of these Terms has occurred or is about to occur, Barclays reserves the right to cancel access rights immediately without notice and to block access to Barclays Live or any Content.

Amendments

Barclays reserves the right to vary or amend these Terms at any time by notifying you of a change when you next use Barclays Live through the Website or any App or by notifying you of a change via an email sent to you, and your continued use of the Website, any App or access to any Content shall constitute your acceptance of such change. Any material new terms will be displayed on-screen and you may be required to read and accept them to continue your use of Barclays Live or to access any Content. From time to time updates to the Apps may be issued via any application store or download location from which the App is available. Depending on the update, you may not be able to use the App until you have downloaded the latest version and accepted any new terms. Client will not, and will cause its Users not to, challenge the admissibility of any of our logs or records of information placed on Barclays Live and our record of Barclays Live is conclusive evidence of its contents.

Severability

If and to the extent that any provision of these Terms is held to be illegal, void or unenforceable, such provision shall be given no effect and shall be deemed not to be included in these Terms but without invalidating any of the remaining provisions of these Terms.

Governing Law and Jurisdiction

These Terms and any non-contractual obligation arising out of or in relation to these Terms will be governed by the laws of England, without giving effect to the principles of conflicts of law, and all users submit to the exclusive jurisdiction of the English courts in respect of any disputes arising under them; unless (i) Client is a citizen of or incorporated in the United States, in which case these Terms will be governed by the laws of the State of New York, without giving effect to the principles of conflicts of law, and all such users submit to the exclusive jurisdiction of the New York courts in respect of any disputes arising under them; or (ii) Client is organised under the laws of or located in any jurisdiction outside of the European Union or in Norway, Switzerland and Iceland, in which case, these Terms and any non-contractual obligation arising out of or in relation to these Terms shall be governed by the laws of England and any dispute shall be referred to and finally resolved under the Rules of the London Court of International Arbitration (the “LCIA”), which Rules are deemed to be incorporated by reference into this paragraph. If Client is both a legal entity and an individual, the preceding sentence shall be resolved based upon the citizenship or place of incorporation of the entity or person that is the primary focus of the dispute. The parties hereby expressly agree that any dispute that arises out of or in connection with these Terms will necessarily require resolution as a matter of exceptional urgency. There shall be one arbitrator, to be appointed by the LCIA Court. The chosen arbitrator shall be a practising English lawyer. The seat of arbitration shall be London, England and all hearings shall take place in London, England. The arbitration proceedings shall be conducted in the English language and the Award shall be in English.

Additional provisions applicable to iOS App

In addition to Client’s agreement with the foregoing terms and conditions, Client acknowledges and agrees to the following provisions with respect to its use of any version of Barclays Live accessed through or downloaded from any Apple App Store (also called the "iOS App") (the “Additional Terms”).

Parties to these Terms

You acknowledge that these Terms are concluded between Client and User on one hand and Barclays on the other, and not with Apple; and Barclays, not Apple, is solely responsible for the iOS App and the content thereof.

Scope of License

The license you have been granted herein is limited to a non-transferable license to use the iOS App on any iPhone® or iPod® or other Apple-branded product or device that you own or control, as permitted by the Usage Rules set forth in the App Store Terms of Service.

Maintenance and Support

Apple is not responsible for maintenance or other support services for the iOS App.

Limited Warranty; Exclusion of Product Claims

In the event of any failure of the iOS App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the iOS App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the iOS App and will not be responsible for any other claims, losses, liabilities, damages, costs or expenses with respect to the iOS App, including, without limitation, any third party product liability claims, claims that the iOS App fails to conform to any applicable legal or regulatory requirement, claims arising under consumer protection or similar legislation, and claims with respect to intellectual property infringement. Any inquiries or complaints relating to the use of the iOS App, including those pertaining to intellectual property rights, must be directed to Barclays at the address provided in the 'Contact Us' section of these Terms.

Compliance with Other Requirements

You agree to comply with the terms of any third party agreement that is applicable to you when using the iOS App, such as your wireless data service agreement. You hereby represent and warrant (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a terrorist supporting country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

Third Party Beneficiary

You acknowledge and agree that Apple, and Apple’s subsidiaries, are third party beneficiaries of these Additional Terms and, upon your acceptance of these Additional Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Additional Terms against the end-user as a third party beneficiary thereof.

Information we collect

We collect information about you from you and others as part of any Client on-boarding when you begin to engage with Barclays, your initial registration to use Barclays Live or access Content and your ongoing use of Barclays Live and Content, as applicable (please see next section for details of how we use and share your information). The information we may collect includes your:

  • name;
  • employer or company affiliation;
  • job title;
  • email address;
  • business mailing addresses;
  • Bloomberg address;
  • business and personal telephone number;
  • mobile telephone number;
  • activities on Barclays Live and interaction with any Content;
  • areas or intrest; and
  • areas or expertise

If you submit messages to your Barclays contacts using Barclays Live, we collect the message and related information. We review the services you use on Barclays Live as well as any Content you review or share. We also collect information from external sources (including as part of our Client on-boarding process before you have provided any information to Barclays Live).

Barclays also collects information about Users' usage of Barclays Live from the Website or the App, from the servers used to support the Website and the App, and from Users' access to Content. This information includes:

  • content viewed by the User both on Barclays Live and third party research platforms, the time of viewing, length of time of Content viewed, the device or browser used and any messages, clippings or annotations made;
  • the IP address from which Users access Barclays Live or any Content;
  • information about the device used to access Barclays Live or any Content such as the operating system type and version, user and device name, as well as the unique user ID (the UUID) or Android ID (as applicable) assigned to the device;
  • if the User access Barclays Live via an App, the version of the App;
  • certain diagnostic information when Apps stop operating or operate improperly; and
  • settings and preference choices the User has made for Barclays Live or any Content and device capabilities used by Barclays Live.

We use various technical means to collect this information including application logs on your device or PC, server logs, “cookies” placed on your device or PC and “beacons” in email and other content. If you are asked to provide information about others you must ensure that you have their consent or are otherwise entitled to provide this information to us and you hereby confirm that is the case.

What Barclays uses personal information for and on what basis

If you provide us with your email address, or have done so in the past, we may upon occasion email you.

Communicating with the User from time to time about products, services and opportunities offered by Barclays and/or other members of the Barclays Group, and other communications such as research and insights, that may be of interest to the User (see the paragraph below on how to stop receiving communications of this nature).

When Barclays processes Users' personal information to meet its legitimate interests, it puts in place robust safeguards to ensure that the Users’ privacy is protected and to ensure that its legitimate interests do not override the Users’ interests or fundamental rights and freedoms.

Where Barclays processes any information about Users that is not personal data, Barclays will comply with its obligations of confidentiality and establish and maintain adequate security measures to safeguard confidential information from unauthorised access or use.

Use of Barclays Live messaging and annotations systems

If you use Barclays Live to send a message to a Barclays contact, the message will be both delivered on Barclays Live and through Barclays’ internal email system and will be available to your Barclays contact, Barclays and the Firm. Messages sent to you on Barclays Live will be available to you on Barclays Live and will be sent to the email address registered with your Barclays Live account. These messages will also be available to Barclays and the Firm.

If you use Barclays Live to make annotations to any Content, create “clippings” or make annotations to any clippings, those annotations and clippings will be available to you and your Barclays contacts, if any, with whom you share such information. The Barclays Live messaging and annotation systems are not designed for the delivery or display of sensitive personal information or confidential information, and you agree that you will not use the Barclays Live messaging or annotations systems to send or display any such information.

Messages sent to your Barclays contact through, and annotations made to Content on, Barclays Live will be available to your Barclays contact. Personal information you provide or that we gather about you as well as your messages, annotations, clippings and any annotations to clippings will be available to administrators of Barclays Live as well as certain Barclays’ employees and service providers in connection with our administration of Barclays Live and other Barclays’ services. All of that information may also be made available to regulatory and other governmental authorities in connection with Barclays and/or the Firm's compliance obligations or in response to an order of a court or agency that asserts authority over us. Some of that information (such as your company, professional affiliations, location and contact information) may be shown with messages to your Barclays contacts as well as in your annotations and clippings. (Please note that the capability to make annotations and create clippings may not be available on the Website or in all Apps.)

Information sharing

Where necessary Barclays may provide personal information about the User:

  • to other members of the Barclays’ Group, including (i) internal service companies and (ii) to other Barclays companies and entities with whom the User has a relationship.
  • to its suppliers and agents. Where Barclays engages with a supplier or agent to process Users’ information on its behalf, it will undertake due diligence, monitoring and assurance activities to ensure that the information is appropriately protected, and contractual clauses will be agreed between the parties to ensure that data protection and confidentiality is maintained.
  • to anyone as a result of any restructure, sale or acquisition of any Barclays Group member or to anyone to whom Barclays transfers or may transfer its rights.
  • if Barclays is required, requested or permitted to do so by law, regulation, court order, or supervisory, regulatory or similar authority.

Because Barclays operates as part of a global business, the recipients referred to above may be located outside the jurisdiction in which Users are located (or in which Barclays provides the services). See the section on “International transfer of personal information” below for more information.

Retention of personal information

Barclays will only retain a User’s information following cancellation of their Barclays Live registration. The periods differ depending on the type of personal information, and the purposes for which Barclays holds that information. Barclays will only retain the User’s information to enable it to:

  • maintain Business records for analysis and/or audit purposes;
  • comply with record retention requirements under the law;
  • defend or bring any existing or potential legal claims;
  • deal with any complaints regarding the services;

Barclays will delete the User’s personal information when it is no longer required for these purposes. If there is any Users' information that Barclays is unable, for technical reasons, to delete entirely from its systems, it will put in place appropriate measures to prevent any further processing or use of the data.

Individuals' rights over their personal information

Individuals have certain rights regarding their personal information, subject to local law. These include the following rights to:

  • access their personal information;
  • rectify the information Barclays holds about them;
  • erase their personal information;
  • restrict Barclays' use of this personal information;
  • object to Barclays' use of this personal information;
  • lodge a complaint with the local data protection authority.

International transfer of personal information

Barclays may transmit information through, and store information within, systems operated or controlled by third parties in, and outside, the UK.

Where Barclays transfers the Users' personal information to other jurisdictions (in the operation of its business or for example to its suppliers, agents or affiliates) it will ensure that appropriate safeguards are provided in order to ensure that the data transfers are subject to an adequate level of protection. These safeguards will include the use of contractual terms approved by the European data protection authorities.

Security

While we have implemented measures designed to protect against the unauthorised access, interception, loss, misuse and or alteration of the information under our control, our systems are not designed to protect sensitive personal information or any confidential information and we do not guarantee that events of unauthorised access, interception, loss, misuse and or alteration of the information under our control will not occur. The password you use for Barclays Live should be unique and not used with other services.

Use of Web Beacons

Some of our web pages may contain electronic images known as web beacons (sometimes also called clear gifs).
